Terms of service

1. Acceptance and who we are

These terms are an agreement between you and NextCent OÜ (registry code 16303286), a private limited company registered in Estonia at Maakri tn 30, 10145 Tallinn, Estonia. NextCent OÜ operates Alphacent ("Alphacent", "we", "us"). They govern your use of the Alphacent mobile app for iOS and Android, this website, and everything the app contains: the trading simulator, courses, quizzes, missions, leaderboards, and related features (together, the "Service").

By creating an account or using the Service, you accept these terms. If you do not agree with them, do not use the Service. Our Privacy policy explains how we handle your data and forms part of this agreement.

If you download the app through the Apple App Store or Google Play, the terms of those stores also apply to your download and any purchases you make through them. The license to the app itself is the standard one your store grants: Apple's Standard End User License Agreement on Apple devices, and the default license in the Google Play Terms of Service on Android. These terms cover the Service, and if they ever conflict with your store's license about the app itself, the store's license prevails. Apple and Google are not parties to these terms and are not responsible for the Service or its content.

2. Alphacent is a simulator

This is the most important section of these terms, so we put it near the top.

Alphacent is a trading simulator built for education, covering crypto, stocks, ETFs, indices, and commodities. Every trade in the app is simulated. Your balance is practice money ("paper money"), not real currency. You cannot deposit real money into the app, you cannot withdraw anything from it, and you cannot win, earn, or lose real money by trading in it.

Specifically:

  • Your in-app cash balance, profits, and losses are simulated values with no monetary worth.
  • No real securities, cryptocurrency, or fiat currency is ever bought, sold, held, or transferred through the Service.
  • Alphacent is not a broker, dealer, exchange, wallet, or financial institution of any kind, and it does not connect to any real trading account.
  • Price data shown in the app is real market data provided for educational context only (see section 12).
  • Nothing in the app is gambling. There is no stake, no prize with monetary value, and no chance to convert simulated results into real money or goods.

Virtual items in the Service, including practice cash, XP, badges, streaks, and leaderboard positions, have no monetary value, cannot be redeemed for real money or anything of value, and cannot be sold or transferred to anyone else.

3. Not financial advice

Alphacent is for learning and practice. Nothing in the Service is financial, investment, legal, or tax advice, and nothing in it is a recommendation to buy, sell, or hold any asset.

Courses, lessons, quizzes, patterns, practice tools, and any results you achieve in the simulator describe concepts and simulated outcomes. They do not predict real markets. Real trading involves substantial risk, including the loss of everything you invest. Simulated performance in Alphacent does not indicate what would happen with real money.

If you decide to trade with real money elsewhere, that decision and its consequences are entirely your own. Consider getting advice from a licensed professional first.

4. Eligibility

You must be at least 13 years old to use Alphacent. If the country you live in sets a higher minimum age for consenting to digital services (for example, 16 in parts of the European Union), you must meet that age instead, or have verifiable consent from a parent or legal guardian where the law allows it.

By using the Service you confirm that you meet this requirement and that you are legally able to enter into this agreement.

5. Your account

You can create an account with an email address and password, or by signing in with Apple or Google. When you create an account you agree to:

  • provide accurate information and keep it up to date;
  • keep your login credentials to yourself and not share your account;
  • use one account per person, not create accounts for others, and not buy, sell, or transfer accounts;
  • tell us at support@alphacent.app if you believe someone else has accessed your account.

You are responsible for activity that happens under your account. We may reclaim or change display names that impersonate others, infringe rights, or are offensive.

6. Alphacent Pro subscriptions

Alphacent is free to download and use. An optional subscription, Alphacent Pro, unlocks additional tools such as leverage, advanced charts and indicators, custom position sizing, the full course track, the complete candlestick library, and other Pro features shown in the app.

Current plans:

  • Pro monthly: $5.99 per month, with an introductory price of $2.99 for the first month for eligible new subscribers.
  • Pro yearly: $59.99 per year.

Prices are shown in the app before you buy and may vary by country due to store pricing and taxes. If we change prices, the change applies from your next billing period and the store will notify you as its rules require.

How billing works:

  • Payment is charged to your Apple ID or Google account when you confirm the purchase.
  • The subscription renews automatically unless you turn off auto-renewal at least 24 hours before the end of the current period.
  • Your account is charged for renewal within 24 hours before the end of the current period, at the plan price then in effect.
  • You can manage or cancel the subscription at any time in your App Store or Google Play account settings. Deleting the app does not cancel a subscription.
  • If you cancel, Pro stays active until the end of the period you already paid for. There are no partial-period refunds from us; see section 8.
  • Any unused portion of a free or introductory offer is forfeited when you purchase a subscription, where store rules apply this.

Subscriptions are processed by Apple or Google. We use RevenueCat to validate purchases; we never see or store your card details.

7. Practice-cash packs and virtual items

You can optionally buy one-time packs of practice cash to top up your simulated balance. Current packs are $0.99, $1.99, and $4.99, each adding a fixed amount of paper money to your account. Exact amounts are shown in the app before purchase.

Practice cash and all other virtual items:

  • are a license to use a feature of the Service, not property you own;
  • have no monetary value and cannot be redeemed, exchanged, or cashed out for real money, goods, or services;
  • are non-transferable between accounts and cannot be sold or gifted;
  • are consumed when used and are lost permanently if you delete your account;
  • may be adjusted by us where needed to fix bugs, correct abuse, or keep the simulator and leaderboards fair (see section 9).

Buying practice cash does not improve leaderboard standing by itself; competition rankings are based on validated trading performance.

8. Refunds

All purchases are made through the Apple App Store or Google Play, and refunds are handled by them under their policies, not by us directly. To request a refund:

  • Apple: go to reportaproblem.apple.com and sign in with your Apple ID.
  • Google: use the order history in Google Play or the Play refund request form.

Except where the law of your country gives you rights we cannot exclude, purchases are otherwise final. If you believe you were charged in error, contact us at support@alphacent.app and we will do what we reasonably can to help.

9. Fair play and leaderboards

Leaderboards, challenges, missions, and rewards only mean something if they are honest. Trade results, challenge completions, and rankings are validated on our servers, not just on your device.

You agree not to manipulate the simulator or competitions. That includes tampering with the app or its traffic, exploiting bugs for gain, using automation, running multiple accounts to farm rewards, or interfering with server validation.

If we reasonably believe an account has cheated or exploited a bug, we may correct or reset its balances, XP, streaks, rewards, or leaderboard entries, remove it from competitions, or suspend or terminate it. Where a bug caused unintended balances or rewards for anyone, we may correct affected accounts even without fault.

10. Acceptable use

You agree not to:

  • use the Service for anything unlawful, or in a way that suggests simulated results are real trading results;
  • copy, scrape, decompile, reverse engineer, or create derivative works from the Service, except where the law permits it despite this term;
  • resell, rent, or commercially exploit the Service or its content without our written permission;
  • upload malicious code, probe or overload our infrastructure, or bypass security or access controls;
  • harass other users or use offensive display names;
  • misrepresent an affiliation with Alphacent.

11. Intellectual property

The Service and everything in it, including the app, website, courses, lessons, quizzes, practice tools, design, graphics, logos, and the Alphacent name and mark, belong to Alphacent or its licensors and are protected by intellectual property laws.

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the app and its content for your own learning. No other rights are granted. Feedback you send us can be used by us without obligation to you.

12. Third-party services

The Service depends on third parties we do not control:

  • Apple and Google distribute the app and process payments.
  • Supabase provides hosting, authentication, and our database.
  • RevenueCat validates purchases and subscriptions.
  • Market data providers supply the live price data shown in the app. This data is provided "as is" for educational display. It can be delayed, interrupted, or differ between sources, and neither they nor we guarantee its accuracy. No personal data about you is sent to these price providers.

If a third-party service changes or becomes unavailable, parts of the Service may be affected. We are not responsible for third-party services or their terms.

13. Disclaimers and limitation of liability

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy of market data, and uninterrupted or error-free operation. Simulated results, prices, and calculations may contain errors or lag behind real markets.

To the fullest extent the law allows, Alphacent will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising from your use of or inability to use the Service. Our total liability for all claims relating to the Service is limited to the greater of $50 or the amount you paid us through the Service in the 12 months before the claim arose.

For clarity: any decision to trade real money anywhere is yours alone, and we are not liable for real-world trading or investment losses of any kind.

Nothing in these terms limits or excludes rights that cannot be limited or excluded by law. If you are a consumer, you keep every right your local consumer law gives you, and where a jurisdiction does not allow parts of this section, those parts apply to the maximum extent permitted.

14. Termination and account deletion

You can stop using the Service at any time. You can delete your account from inside the app under Settings; deletion removes your account and associated data as described in our Privacy policy, and any remaining virtual items and subscriptions attached to the account are lost (an active subscription must be cancelled separately in your store settings, or it will keep renewing).

We may suspend or terminate your access if you materially breach these terms, if the law requires it, or if we discontinue the Service. Where reasonable, we will give you notice. Sections that by their nature should survive termination (including sections 2, 3, 7, 11, 13, and 15) survive it.

15. Changes, governing law, and contact

We may update these terms as the Service evolves. If a change is material, we will tell you in the app or by other reasonable means before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated terms. The "Last updated" date at the top always shows the current version.

These terms are governed by the laws of the Republic of Estonia, excluding its conflict-of-law rules, and disputes will be resolved in the Estonian courts, unless the consumer-protection law where you live requires otherwise.

If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a term is not a waiver of it.
